Dear Former Nortek Holdings, Inc. Shareholder:
As a result of Nortek Holdings, Inc. ("Nortek") recapitalization in January 2003, your Nortek certificates for common stock and special common stock are no longer valid and must be exchanged. If you held shares of record on January 9, 2003, you are entitled to receive $46.00 cash for every share of Nortek common stock or Nortek special common stock you own. You have been previously notified to send in your Nortek shares for exchange. At some point, these assets, as required under unclaimed property laws, may be deemed "abandoned" and turned over to your state of residence, where you can claim them at a later date.
To exchange your shares for cash, you should do one of the following:
- If you have the Letter of Transmittal provided to you at the time of the recapitalization, please complete that in accordance with the instructions and return the completed form along with your stock certificate(s). If you don't have the oriqinal Letter of Transmittal and you want to exchanqe your Nortek shares, you can call EquiServe at (877) 282-1168 to request another Letter of Transmittal - which will be sent to you at no charqe - and complete that Letter of Transmittal as instructed; or
- Our exchange agent, EquiServe Trust Company, N.A., has put together a program through EquiServe Access, a brokerage firm, to assist you with this exchange. If you wish to use this service, complete the enclosed Acceptance Form and mail it with your Nortek certificates to receive a check for the cash proceeds, less a processing fee of $4.55 per Nortek share (paid to EquiServe Access for performing the service). If you are unable to locate your Nortek certificates, you may have them replaced by checking the box for "lost certificates" in step 2 of the Acceptance Form.
